Terms of Use

These Terms of Use govern your access to and use of TidyAnswer, a business communications service operated by Grid Heap, Inc.

1. Acceptance and Eligibility

By using TidyAnswer, you agree to these Terms and the TidyAnswer Privacy Policy. You must be legally able to use the service and, if acting for an organization, authorized to bind that organization.

2. Product Scope

TidyAnswer helps coordinate calls, SMS, voicemail, push delivery, carrier review, sales follow-up, team availability, and provider events. Features depend on configured providers, phone lines, registrations, and customer settings.

3. Accounts, Lines, and Providers

You are responsible for account credentials, API tokens, configured phone lines, carrier review information, provider terms, messaging consent, and all activity under your customer configuration.

4. Communications Content

You retain rights in business communications you submit or direct us to process. You grant us the limited rights needed to send, receive, route, display, store, project, notify, and support those communications.

5. Voice AI and Output

Voice AI answering, transcription, and follow-up output may be inaccurate, incomplete, delayed, or unsuitable. You are responsible for reviewing transcripts, handoff records, AI responses, sales tasks, and outbound communications before relying on them.

6. Restrictions

• Do not use TidyAnswer to send unlawful messages, spam, harassment, fraud, or communications without required consent.
• Do not bypass carrier, provider, app, webhook, authentication, billing, or access-control limits.
• Do not upload provider tokens, private keys, or regulated data unless required and authorized for the configured workflow.
• Do not use TidyAnswer to record, transcribe, or monitor calls where consent or legal authority is required and missing.

7. Third-Party Services

TidyAnswer may rely on Twilio, Telnyx, APNS, Slack, email providers, Granola, LinkedIn, Attio, hosting providers, and other systems you configure. Their services are governed by their own terms.

8. Billing and Availability

Paid access, telecom charges, provider fees, and carrier review costs may apply. We do not guarantee provider approval, uninterrupted telecom delivery, or that messages will be accepted by every carrier or recipient.

9. Intellectual Property

TidyAnswer software, design, documentation, and branding are owned by Grid Heap or its licensors. These Terms grant only a limited right to use the service.

10. Disclaimers

TidyAnswer is provided "as is" and "as available" to the maximum extent permitted by law. We disclaim warranties of exact delivery, transcription accuracy, uninterrupted provider availability, carrier approval, and error-free operation.

11. Limitation of Liability

To the maximum extent permitted by law, Grid Heap will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, goodwill, carrier approval, provider access, or communications outcomes. Our aggregate liability is limited to the greater of the amount you paid for TidyAnswer in the twelve months before the claim or USD $100.

12. Indemnification

You agree to indemnify Grid Heap from claims arising from your communications, provider configuration, consent failures, telecom compliance issues, use of TidyAnswer, or violation of law or third-party rights.

13. Dispute Resolution and Law

Before bringing a formal claim, contact legal@gridheap.com. These Terms are governed by Delaware law, excluding conflict-of-law rules, unless mandatory consumer law requires otherwise.
